WE INVEST IN SOLUTIONS.

Addressing problems for a focused and addressable niche target markets (i.e. a $100+ million market). The company must demonstrate a clear vision & strategy to claim a reasonable share of this market. We look to encourage companies based out of Frontier and Emerging markets around the globe with a special focus on India & Asia.

We look for those who are passionate and committed to their business pursuits, with a track record of performance – either in the company’s specific vertical or in prior ventures. The team’s credibility is essential for fostering and enabling the partnership with us. The team must be open to receiving input and guidance provided by Blackstone Valley Group Executive Team.

FINANCIALS

REVENUE PLANS.

We look for reasonable and achievable revenue plans. We will look at Assets, Cash Flow and Earnings quality to help us base the projected numbers and understand the assumptions behind the projections.

Since most of the Revenue Projections are not achieved we will evaluate the financial plans with an assumption of a shortfall.

COMPETITIVE ADVANTAGE

EVALUATING POTENTIAL.

Key factors helping us evaluate the competitive advantage include IP (intellectual property protection), exclusivity in licenses, marketing and distribution relationships, talent pool of resources (i.e. knowledge and skills), Proprietary features, entry barriers and market displacement products and applications leading to first mover’s advantage.

GROWTH

INCREASED REVENUE PLANS.

We are looking for companies that can grow quickly .The management and the company must demonstrate a plan to generate significant profits with eyes on achieving multiple sources of revenue.

VALUATION

OPTIMUM RANGE.

The majority of our deal valuations are in the $0.25 million to $2M range. We look at deals that have pre-money valuations that are below $5 million. We are open to opportunities over $5M but are likely to do so through syndication.

USE OF PROCEEDS

MAXIMIZE POTENTIAL.

Funds must be used to accelerate the company’s achievement of key milestones that increase the company’s value. We usually fund activities that help build sales and marketing infrastructure, hire key executives, and look at synergistic opportunities.

WORKING TOGETHER.

We believe in active participation with the company in helping achieve the shared goals and by helping the company utilize and leverage our significant executive and operational experience.

Our Board of Advisors are available to guide the parties at various stages as we move in the different stages of our investment process.

EXIT STRATEGY

MUTUALLY BENEFICIAL.

Exit strategy. We seek a return of at least five times on our initial investments within 2-5 years. Due to the inherent high risk and probabilities of failure among early stage companies, this level of ROI is essential.

Blackstone Valley group will look at an articulated strategy from the Company, inclusive of both operational & tactical steps, to demonstrate how Blackstone Valley Group will extract such returns. For example; subsequent round of fundings – venture or Capital Markets, M&A, Strategic sale as an exit platform.

Investment Process

Step One: Screening
Complete the application and include a one-page executive summary outlining the key characteristics of your company. The application will be reviewed to determine if it is within the focus area, and a good fit for our group. If it meets the criteria, then the company will be invited for an initial screening presentation, either via videoconferencing or in person.

Note: Friends of Blackstone Valley Group and individuals known to our Board of Advisors may refer deals directly into screening.
Step Two: Discovery
Screening is held once a week via video conferencing or in person and will consist of a 30-45 minute presentation. If there is interest at screening and then discovery will phase will start with consultations done with our Board of Advisors. This meeting is structured for a 2-3 hour timeline, in which we will engage in a deep-dive session with the company discussing key issues. If there is further interest, then we will commence due diligence. BlackstoneValley executive team travel to focus markets frequently and in person meetings can be scheduled in advance.
Step Three: Due Dilligence
During Due Diligence, BlackstoneValleyGroup team will verify the statements made in the business plan, presentation, and financial projections. We will thoroughly research the team’s background and track record.

An initial discussion of terms and valuation and will happen early in Due Diligence to make sure the two parties are within working distance of each other and that Due Diligence can proceed. We also identify any potential deal breakers and down side risks during this phase.
Step Four: Term Sheet
After successful completion of the due diligence process, BlackstoneValleyGroup will present a term sheet that defines the structure of the investment deal – whether equity, syndication etc including types of equity and board of director’s representation, using industry standard terms and provisions.
Step Five: Deal Structure
The Deal Structure will be defined in the term sheet offering – whether equity, loan, or other financial instruments etc including types of equity and board of director’s representation, management participation using industry standard terms and provisions.
Step Six: Funding & Beyond
When all parties are satisfied with the terms and language contained in the term sheet, the deal can be executed. Closing the deal is only the beginning of the funding process. It is expected that the BlackstoneValleyGroup executive team will provide the company with access to their network of value-added and offer their guidance or participate actively as per the deal terms for the growth and success of the venture.
